VortexPilot therefore does not guarantee any particular number of leads, appointments, customers, revenue, rankings, advertising results, or return on investment unless a specific written agreement expressly states otherwise.
4. Client Responsibilities
Clients are responsible for providing accurate, current, and lawful information, materials, access credentials, approvals, brand assets, claims, offers, and other information reasonably required to perform services. Clients are responsible for ensuring that materials, customer lists, products, services, reviews, and claims they supply or authorize may lawfully be used.
5. Advertising and Third-Party Platforms
Services may involve Google, Meta, Microsoft, website hosts, CRM platforms, email or messaging providers, analytics services, payment processors, and other third parties. Their policies, pricing, algorithms, approval processes, availability, and functionality may change without notice. VortexPilot does not control those third parties and is not responsible for losses caused solely by their actions, outages, policy decisions, suspensions, account restrictions, or technical changes.
6. Marketing Communications
Where we provide email, SMS, calling, or other communications services, activity must use appropriate permissions and comply with applicable laws, opt-out requirements, carrier requirements, and platform rules. Clients remain responsible for the legality of customer lists and contact information they provide or authorize us to use. We may pause communications where continued activity reasonably appears non-compliant.
7. Intellectual Property
VortexPilot retains ownership of its pre-existing materials, processes, systems, templates, know-how, methodologies, software configurations, and other intellectual property unless otherwise agreed in writing. Client-owned materials remain the client's property. Subject to payment, the client receives only the rights expressly granted in the applicable agreement for client-specific deliverables.
8. Website Content
Website information is provided for general informational purposes. We make reasonable efforts to keep it useful and current, but do not warrant that every statement, example, third-party reference, or website element will always be complete, current, or error-free.
9. Payments, Cancellation, and Suspension
Fees, billing dates, cancellation terms, and refund terms are governed by the applicable proposal, service agreement, invoice, or other written commercial terms. Unless stated otherwise, unpaid amounts may result in suspension. We may suspend or terminate services for overdue payment, unavailable required access, material breach, or a reasonable legal, security, or platform-compliance concern.
10. Refunds
Refunds are subject to the applicable written service agreement, proposal, invoice, or stated refund policy. Unless expressly promised in writing, fees for work already performed, third-party costs, advertising spend, platform charges, or other non-refundable costs are not automatically refundable.

Each party should use reasonable care to protect confidential, non-public business information received from the other party and use it only for legitimate purposes connected with the relationship, except where disclosure is required by law or reasonably necessary to perform agreed services through authorized providers.

17. Termination
Either party may end a service relationship according to the applicable written agreement. We may suspend or terminate access where reasonably necessary for security, legal compliance, non-payment, or material breach. Provisions that by their nature should survive termination, including intellectual property, confidentiality, disclaimers, limitations of liability, and dispute provisions, will continue to apply.
18. Governing Law and Disputes
These Terms are intended to be interpreted under the laws applicable to VortexPilot Agency and its relationship with the user, subject to mandatory rights or protections that cannot legally be excluded. Any specific dispute-resolution procedure, jurisdiction, or arbitration requirement should be stated in the applicable client agreement.
